We are hiring an Assistant Company Secretary to work with our Company Secretary to ensure that the Corporate Secretariat runs appropriately. The role is broad ranging and will afford a high level of involvement, responsibility and visibility.

*This is a fully onsite role*

Duties:

  • Provide effective Corporate Secretariat support regarding Corporate Governance;
  • Deputise for the Company Secretary as and when appropriate;
  • Board and Committee servicing, administration and production of minutes, and in particular (but not exclusively) the Group Risk Committee (GRC) and the regulated entity boards;
  • Work with the HR team in relation to the oversight of the operational aspects of the Group’s discretionary and all employee share schemes ensuring appropriate processes and procedures are in place for grants and vests and that the Group complies with its obligations including dilution limits and filing annual HMRC returns;
  • Oversee and monitor the relationship with the share registrar;
  • Provide advice on appropriate governance structures, SMCR and enhanced significant firm requirements, forward calendars, production of papers, minutes and resolutions and ancillary documents for the GRC and regulated entity boards;
  • Lead the annual subsidiary accounts process for the UK regulated and other subsidiary entities in conjunction with other team members, the Finance Team and external auditors.
  • Draft minutes, resolutions, powers of attorney and other company secretarial documentation;
  • Monitor and ensure compliance with relevant legal requirements (incl. Companies Act, UK Corporate Governance Code, Listing Rules and Market Abuse Regulations);
  • Ensure that the UK regulated and other subsidiary companies in the CMC Group comply with their articles of association and other governance requirements;
  • Assist with Regulatory News Service (RNS) reporting (including drafting and reviewing stock exchange announcements) and uploads to the National Storage Mechanism;
  • Oversight of the maintenance Insiders List and ensuring application of the company’s Share Dealing Code alongside the Company Secretariat Assistant;
  • Take responsibility for certain sections of the Annual Report & Accounts and oversee collation of information by more junior members of the team;
  • In conjunction with the Company Secretariat Assistant, ensure successful delivery of the CMC Markets plcAGM
  • Assist the Company Secretary in training and mentoring team members;
  • Be involved in governance projects on an ad hoc basis, including working with other members of the Corporate Secretariat on intra-group restructurings, liquidations and strike-offs, etc;
  • Support the Company Secretary on the annual board evaluation process
  • Act as a conduit to facilitate necessary information flow to and from each Board and around the business, liaising with cross-functional teams including tax, financial, legal, compliance and risk as appropriate;
  • Build relationships with internal and external stakeholders, acting as a source of information and effectively managing queries and raising the profile of the function and drive forward best practice in governance and company secretarial processes;
  • Dealing with Corporate Secretariat related invoices and associated purchase orders;
  • Manage the matters reserved for the Board and Delegated Authority and signing policies;
  • Review and develop statutory compliance processes and procedures to reflect best practice and improve efficiency in conjunction with other members of the team;
  • Support senior management during audit and regulatory reviews;

KEY SKILLS AND EXPERIENCE

  • CGI qualified;
  • Company Secretarial experience in a listed environment;
  • Proven capability to manage operational, legal entity and regulatory priorities effectively;
  • Knowledge of relevant legal and regulatory requirements;
  • Experience of executive and employee share schemes;
  • Strong communication, interpersonal, team working and organisational skills and the ability to use these skills to develop and coach more junior members of the team;
  • Highly methodical and organised, with an ability to work under pressure and within tight deadlines, whilst maintaining excellent attention to detail;
  • A can-do service mentality coupled with a flexible attitude and ability to manage a varied workload and competing priorities;
  • Ability to maintain confidentiality with a high degree of discretion;
  • Technology and microsoft office confidence and competence e.g. DilligentBoardbooks and Entities, RNS, Excel, Power Point, share portals, etc
  • Ability to absorb and digest technical and complex information.
