We are partnering with a well-established Single-Family Office seeking a Chief Legal Officer to work closely alongside the Head of Family Office and Principal. The role involves providing expert advice on Special Purpose Vehicles (SPVs), trusts, and family-owned assets, as well as coordinating with external providers globally on corporate, trust, transaction, and litigation matters.

Location: Jersey or Monaco (support can be provided for relocation).

Required Expertise:

  • Trust, Foundations, and SPV Structures: Knowledgeable in the use of trusts, foundations, and Special Purpose Vehicles (SPVs) by Family Offices to hold various asset classes such as real estate, yachts, planes, and art collections.
  • Legal Structures Management: Experience in establishing and managing intricate legal frameworks for holding family-owned assets.
  • Offshore Practices: Understanding of offshore concepts including substance rules and transfer pricing.
  • Trust Environment Experience: Practical experience in a trust environment, preferably with exposure to dispute resolution and litigation.
  • Investment Programs and Compliance: Familiarity with investment programs, due diligence, and related Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements.
  • Asset Transactions: Experience in the purchase and leasing of private assets and real estate.
  • Civil Law Foundations: Knowledge of civil law concepts such as foundations is advantageous.
  • Corporate Documentation: Proficient in drafting corporate minutes and related documentation.

Key Responsibilities:

  • Legal Advisory: Provide high-level legal advice to the Ultimate Beneficial Owner (UBO) and the Head of the Family Office.
  • Clear and Concise Writing: Demonstrate strong writing skills for clear and concise communication.
  • Task Prioritization: Ability to manage and prioritize many tasks effectively.
  • Jurisdictional Coordination: Work seamlessly across different jurisdictions and structures.
  • Organization and Pressure Management: Highly organized and able to work well under pressure and meet tight deadlines.
  • Legal Collaboration: Collaborate with law firms across common law and civil law jurisdictions on various legal matters, including employment, contracts, Non-Disclosure Agreements (NDAs), ad-hoc agreements, lettings, purchase and sale agreements, and trust-related matters.
  • Written Recommendations: Provide well-founded written advice and recommendations.
  • Legal Structure Evolution: Understand and assist in evolving complex legal structures to meet the Family's requirements.
  • Document Review and Drafting: Review and draft legal documentation including contracts, agreements, minutes, and other necessary documents.
  • Risk Assessment and Mitigation: Assess potential legal and tax risks, articulate these risks, and provide mitigation strategies.
  • Meeting Organization: Organize board meetings and Annual General Meetings (AGMs), including drafting all related documentation.
  • Document Management: Work with the in-house Company Secretary to maintain a robust document management system.
  • Compliance Maintenance: Ensure all entities comply with their legal obligations.
  • Adviser Network: Establish a network of advisers to stay updated with legal and tax developments in key jurisdictions.
