Join our team as Senior Governance Manager

The Governance Office works at the centre of ICAEW, connecting with teams working across the whole of the Institute's activities - from member support, through qualifications to professional standards and regulation and to our innovative thought leadership that influences the future of the profession - and helping to ensure the ICAEW continues to be at the heart of the accountancy profession.

We work closely with the Chair of the ICAEW Council, Chair of the Board, the chairs of the governance committees, the Chief Executive, and a team of dedicated to our 'active members' and senior executives providing governance expertise, advice, and high-quality support to enable them to lead ICAEW and deliver our Strategy.

Our recent review of governance at ICAEW has led to a series of exciting changes and the Governance Office is core to delivering these - making us ready to enter the next 150 years of ICAEW's history.

Overall purpose of the role of Senior Governance Manager

To bring additional expertise and capacity to the Governance Office (GO), including deputising for the Head of Governance (HoG).

As part of the GO, the role works to ensure consistently high levels of service to stakeholders and maintaining good governance practices, including:

  • Successfully completing the implementation of new governance framework and ways of working.
  • Making sure governance business as usual coordinates with the new framework and runs effectively and efficiently during the change period.

Senior Governance Manager Responsibilities include:

  • Work with GO team to provide high quality, trusted advice and support to Chairs of Council, Board, Governance and Appointments Committee (GAC) and other governance committees.
  • Integrating best practice in governance, drawing on FRC and other codes and guidance, in all GO work and planning.
  • Work with HoG and Recruitment & Engagement Manager on appointment of members to Council, Board, GAC and other governance committees.
  • Work with HoG and Recruitment & Engagement Manager to develop and manage evaluation of skills and performance of Council, Board and committee members and a development programme for Council members.
  • Support the HoG in developing and maintaining good working relationships between GO and the Chair of Council, ICAEW Board and GAC and between the Executive, ICAEW Board and Council.
  • Coordinate Co Sec support for ICAEW subsidiaries and specified associated companies, developing, and maintaining good working relationships with other stakeholders and external advisors.

Specific duties will vary from time to time in line with the business needs.

Senior Governance Manager Candidate Profile

  • Good standard of education with appropriate professional qualification e.g. Chartered Governance professional
  • Previous experience on governance environment at board level for organisation of similar size and complexity.
  • Strong technical and analytical skills, with the ability to think broadly on issues and apply sound judgement in problem solving.
  • Ability to work collaboratively with senior stakeholders, demonstrating credibility as a trusted advisor.
  • Ability to work as part of a team, including supporting and developing team members.
  • Previous experience of successfully implementing governance change
  • Excellent communication skills - both written and oral, including writing and presenting reports, and constructively challenging others
  • Organised, practical approach and outcome drive.
