Company Secretary assistant for the Investment Trust Business. Participating to the everyday administrative business of the current investment trusts. Participate to the company secretary desk of the investment trusts, liaise and work with the company secretaries, assistant, accounting and finance, sales and marketing, Head of Investment trust. Fully integrated to the team.

Objectives:
Fully qualified Investment Trust company secretary to work co-ordinately with the current company secretaries across the Investment trust stable.

Tasks:

Daily Navs - if/when required to assist
ATT Buy backs
Merchants share issuance & SH01s
Adhoc director queries
Adhoc Director RNS & FCA checking & release
Invoice checking & pre-approval
Website updates re Directors & Trusts docs / Jira tcks
Investor services emails
Investor Services calls
Online meetings - Inv Trst team & Co Sec planning
Online meeting - other

Month End/Start Tasks:
Top 10 checking for RNS
Geographicals' checking for RNS
Brunner Concert party reconciliation
Brunner Concert party confirm re Equiniti:IR analyses
AIC monthly NMPI submissions
Merchants & Brunner Loan Covenant Compliance certifications
Online training
Regulatory document reviews eg KIDs
ATT Investment Controls

Factsheets:
Month end Inv Trst summary check email
Manual inputs prep/approve
Commentary reviews & compliance via AdMaster
Factsheet commentary reviews and amends with MH
Factsheet final draft review & approval
Jira website uploads
Factsheet emails distribution content review
Factsheet emails approval for release

Dividends & Fixed interest payments:
Timetable drafting & registrar approval
Proof stationary review & approval
Funding memorandum checking & approval
S838 Accounts re dividend payments

Board papers:
Board papers prep &/or review
Audit papers review
RemCo pack prep & review
MEC pack prep (if reqd)

Annual & Half Year Reports:
Year end timetables
Half year timetables
Close period RNS's for each of the above
Report drafting & proofing for each of the above
Assist with managing adherance to timetables
Liaise with registrars, design co, printers & maling house

AGMs:
Venue booking (incl site visits as reqd)
Catering & AV booking & quotes
Plan event logistics/deliveries
Chair scripts & Q&A prep
Proxy Voting monitoring
AGM presentation incl proxy slides
Coordinate event on AGM day
Post AGM routine tasks
AGM video view & edits

Knowledge, Skills:
Investment Trusts, UK listed rules, corporate governance, AGM.

IMPORTANT NOTE: ALSO PART TIME POSSIBLE (4 days instead of 5 days)
MUST:
BE OPEN FOR COMING TO OFFICE MIN. 4 DAYS IF FULL TIME
IF PART TIME THEN 3 DAYS OUT OF 4 IS REQUIRED TO BE IN THE OFFICE
